By accessing this Site, creating an account, or purchasing products from ContinuumX Research, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Research Use Only Policy, Privacy Policy, Shipping Policy, Return & Refund Policy, and COA Policy, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms, do not access the Site or place an order.

By using this Site or purchasing products from ContinuumX Research, you represent and warrant that you:

• •Are at least twenty-one (21) years of age.
• •Have the legal authority to enter into a binding agreement.
• •Are purchasing products solely for lawful laboratory, analytical, and scientific research purposes.
• •Will comply with all applicable federal, state, local, and international laws and regulations.

If you are accessing the Site or placing an order on behalf of a business, laboratory, institution, or other organization, you represent that you are authorized to bind that organization to these Terms.

ContinuumX Research reserves the right to refuse service, cancel orders, restrict Site access, or terminate accounts at its sole discretion.

All products sold by ContinuumX Research LLC are intended exclusively for lawful laboratory, analytical, and scientific research purposes.

Our products are not intended for:

• •Human use
• •Veterinary use
• •Human or animal consumption
• •Administration by injection, ingestion, inhalation, topical application, or any other route
• •Diagnostic use
• •Therapeutic use
• •Clinical use
• •Cosmetic use
• •Food or food-additive use
• •Household use

Products offered by ContinuumX Research have not been evaluated or approved by the U.S. Food and Drug Administration for human or veterinary use.

ContinuumX Research does not provide medical advice, dosing recommendations, administration guidance, treatment protocols, veterinary guidance, therapeutic recommendations, or product-use instructions through any communication channel.

ContinuumX Research is not a compounding pharmacy under Section 503A of the Federal Food, Drug, and Cosmetic Act, an outsourcing facility under Section 503B, a healthcare provider, medical practice, or veterinary provider.

By purchasing our products, you acknowledge their Research Use Only status and accept full responsibility for ensuring compliance with all applicable laws and regulations.

ContinuumX Research strives to provide accurate product names, descriptions, specifications, sequences, identifiers, molecular data, CAS numbers, Certificates of Analysis, and other supporting technical information.

However, typographical errors, pricing errors, technical inaccuracies, omissions, or outdated information may occasionally occur. ContinuumX Research reserves the right to correct, modify, or update product information, pricing, availability, specifications, and Site content at any time without prior notice.

Certificates of Analysis (“COAs”) contain analytical information associated with the applicable manufacturing lot. If a material discrepancy exists between general product information displayed on the Site and the COA associated with the manufacturing lot shipped, the lot-specific COA will control regarding the analytical results reported for that lot.

Product images displayed on this Site are representative only. Labels, lot numbers, expiration dates, cap colors, packaging, vial appearance, and other lot-specific details may vary between manufacturing lots.

All prices are listed in U.S. dollars unless otherwise stated and are subject to change without prior notice.

Prices do not include applicable taxes, shipping charges, duties, or other fees unless expressly stated. Applicable charges will be displayed during checkout when available.

Submitting an order constitutes an offer to purchase products from ContinuumX Research. An order confirmation acknowledges receipt of the order but does not necessarily constitute acceptance.

ContinuumX Research reserves the right to review, limit, refuse, modify, hold, or cancel any order for any lawful reason, including:

• •Suspected violations of our Research Use Only Policy
• •Suspected fraud or unauthorized payment activity
• •Inaccurate or incomplete customer information
• •Inventory limitations
• •Pricing or system errors
• •Payment authorization issues
• •Suspected unlawful or prohibited product use

Payment is required in full when an order is placed using one of the payment methods made available at checkout. By submitting payment information, you represent that you are authorized to use the selected payment method.

Payments are processed through one or more secure third-party payment processors. ContinuumX Research does not store complete payment-card information on its own servers.

Shipping procedures, processing times, delivery estimates, available carriers, tracking availability, and other shipping terms are governed by our Shipping Policy, which is incorporated into these Terms by reference.

Orders are generally processed within two (2) business days after payment has been successfully received and verified. Processing and delivery timeframes are estimates and are not guaranteed.

ContinuumX Research ships only within the United States using one or more available carriers or shipping methods. Some shipping methods may not include tracking. Tracking information will be provided when available.

Title to and risk of loss for products pass to the Buyer when the shipment is delivered to the carrier, subject to applicable law.

ContinuumX Research is not responsible for carrier delays, service interruptions, delivery complications, weather-related delays, or shipping issues caused by inaccurate or incomplete information provided by the Buyer.

The Buyer is responsible for providing complete and accurate shipping information when placing an order.

Due to the nature of our Research Use Only products and our commitment to maintaining product integrity, all sales are final once an order has shipped.

ContinuumX Research does not accept general returns or exchanges. Returned research materials cannot be restocked or resold because product storage, handling, and chain of custody cannot be verified after delivery.

If you receive an incorrect, damaged, or apparently defective product, you must notify ContinuumX Research within forty-eight (48) hours of confirmed delivery.

We may request:

• •Your order number
• •Product name
• •Manufacturing lot number
• •Photographs of the shipping package and label
• •Photographs of the product
• •A description of the issue
• •Other reasonably necessary documentation

If an accredited independent laboratory determines that the identity or purity of a product materially differs from the accompanying COA for the applicable manufacturing lot, ContinuumX Research may, at its sole discretion, provide a replacement or issue a refund after reviewing the original laboratory report and supporting documentation.

ContinuumX Research reserves the right to investigate any return, replacement, refund, or remedy request and may deny claims that appear fraudulent, abusive, inconsistent with our Return & Refund Policy, or unsupported by sufficient documentation.

By purchasing products from ContinuumX Research, you agree that you will not:

• •Purchase, possess, handle, store, use, resell, distribute, or transfer any product in violation of applicable law or regulation.
• •Use any product for human or veterinary consumption, administration, application, or treatment.
• •Use any product for therapeutic, diagnostic, clinical, cosmetic, food-related, or household purposes.
• •Combine any product with another substance for administration to a human or animal.
• •Misrepresent a product’s intended use, regulatory status, identity, safety, or suitability.
• •Repackage, relabel, alter, adulterate, dilute, substitute, or misbrand any product for resale or redistribution.
• •Resell or transfer any product with knowledge or reason to believe that it will be used in a manner prohibited by these Terms.
• •Use the Site or its content for any unlawful purpose.
• •Interfere with the operation, security, functionality, or integrity of the Site.
• •Copy, scrape, extract, or commercially exploit Site content without prior written authorization.

ContinuumX Research may refuse service, cancel orders, restrict Site access, or terminate accounts if it reasonably believes that a customer, order, or proposed product use is inconsistent with these Terms, our Research Use Only Policy, or applicable law.

Except as expressly stated in these Terms, the Site, products, services, and content are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by applicable law, ContinuumX Research disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, and warranties arising from a course of dealing, course of performance, or usage of trade.

ContinuumX Research does not warrant that:

• •Any product will be suitable for a particular research application.
• •The Site will be uninterrupted, error-free, secure, or available at all times.
• •Site content will always be complete, current, or free from technical errors.
• •Electronic communications or Site functionality will be free from viruses or other harmful components.

Purchasers are solely responsible for determining whether a product is appropriate for their intended lawful laboratory research.

To the fullest extent permitted by applicable law, ContinuumX Research LLC and its owners, officers, employees, affiliates, agents, contractors, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

• •Use of or inability to use the Site
• •Purchase, possession, handling, storage, use, misuse, resale, or distribution of a product
• •Shipping or delivery issues
• •Reliance on Site content or product documentation
• •Violation of these Terms by a Buyer or third party

This limitation includes loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings, regardless of the legal theory asserted and even if ContinuumX Research has been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, ContinuumX Research’s total aggregate liability for any claim arising from a product shall not exceed the amount paid by the Buyer for the specific product giving rise to the claim.

Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, liability will be limited to the maximum extent permitted by law.

All Site content, including text, graphics, logos, trademarks, trade names, product names, photographs, product images, Certificates of Analysis, product descriptions, software, design elements, page layouts, databases, and other materials, is owned by ContinuumX Research or its licensors and is protected by applicable United States and international intellectual property laws.

You may not copy, reproduce, modify, publish, distribute, transmit, display, sell, license, create derivative works from, or commercially exploit Site content without prior written authorization from ContinuumX Research, except as permitted by applicable law.

Nothing on the Site grants or implies a license or right to use any trademark, logo, trade name, or other intellectual property belonging to ContinuumX Research or a third party.

You agree to defend, indemnify, and hold harmless ContinuumX Research LLC and its owners, officers, employees, affiliates, agents, contractors, representatives, successors, and assigns from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• •Your purchase, possession, handling, storage, use, misuse, resale, transfer, or distribution of any product.
• •Any administration or application of a product to a human or animal.
• •Your violation of these Terms or another ContinuumX Research policy.
• •Your violation of any applicable law or regulation.
• •Your violation of a third party’s rights.
• •Your negligent, reckless, unlawful, or intentional acts or omissions.

These obligations survive completion of a transaction and termination of your use of the Site.

These Terms and any dispute arising out of or relating to the Site, a product, or a transaction with ContinuumX Research shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-law principles.

Before initiating legal proceedings, the parties agree to make a good-faith effort to resolve the dispute through informal written communications.

Any legal action or proceeding arising out of or relating to these Terms must be brought exclusively in a state or federal court located in Clark County, Nevada.

You consent to the personal jurisdiction and venue of those courts and waive any objection based on improper venue or forum non conveniens.

ContinuumX Research reserves the right to modify or update these Terms at any time.

Changes become effective when the revised Terms are posted on the Site unless a different effective date is stated.

The “Last Updated” date displayed at the beginning of these Terms will identify the most recent revision.

Your continued use of the Site or placement of an order after revised Terms become effective constitutes acceptance of those revisions.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

ContinuumX Research’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or of its right to enforce it later. Any waiver must be made in writing by an authorized representative of ContinuumX Research.

These Terms, together with the Research Use Only Policy, Privacy Policy, Shipping Policy, Return & Refund Policy, COA Policy, and any other policies expressly incorporated by reference, constitute the entire agreement between you and ContinuumX Research concerning your use of the Site and purchase of our products.
